entity. Your use of the Service constitutes your agreement to these Terms and any future

  • "Service" refers to Decisionow’s analytics and business intelligence software, tools, and platforms, including any updates or modifications to those services.

  • "User" means any individual or entity that uses or accesses the Service, either through a paid subscription or free trial.

Use of the Service

Eligibility

By using the Service, You represent and warrant that:

  • You have the legal capacity and authority to enter into these Terms.

  • Your use of the Service does not violate any applicable law or regulation.

  • You are not a competitor of DecisionNow and do not operate a similar service intended to replicate Decisionow’s functionality for competitive purposes.

License to Use

Upon accepting these Terms, Decisionow grants You a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Service, strictly for your internal business operations. Any unauthorized use of the Service may result in immediate termination of your license.

Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials, and all activities that occur under your account. Decisionow will not be liable for any loss or damage arising from unauthorized access to your account.

Prohibited Conduct

You agree not to:

  • Use the Service for any unlawful purpose or in violation of these Terms.

  • Access or attempt to access non-public areas of the Service.

  • Reverse engineer, decompile, or otherwise attempt to derive the source code of any part of the Service.

  • Interfere with the operation of the Service, including by transmitting any viruses or harmful code.

Fees and Payment
Subscription Fees

Certain features of the Service require payment of subscription fees. You agree to pay all applicable fees in accordance with the selected plan and terms set forth at the time of registration. All fees are non-refundable, unless explicitly stated otherwise.

Billing Information

You agree to provide accurate and complete billing information, including payment method details. You authorize Decisionow to charge all fees to the payment method provided. Failure to provide accurate information may result in the suspension or termination of your access to the Service.

By using the Service, You represent and warrant that:

Automatic Renewal

Unless otherwise stated, your subscription will automatically renew at the end of the billing period, and You will be charged the then-current fees. You may cancel automatic renewal at any time by updating your account settings prior to the renewal date

What to include in the T&C document

Ownership of Data

You retain all rights, title, and interest in and to the data that You input into the Service. By using the Service, You grant Decisionow a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, process, and store your data solely for the purpose of providing the Service.

Privacy Policy

Our use of your personal data is governed by our [Privacy Policy], which is incorporated by reference into these Terms. By using the Service, You consent to the collection and use of data as outlined in the Privacy Policy.

Data Security

Decisionow implements industry-standard measures to protect the security of your data. However, You acknowledge that no method of transmission over the Internet is completely secure, and You agree to use the Service at your own risk.

Intellectual Property

Ownership

All intellectual property rights in and to the Service, including all software, content, and materials, are the exclusive property of Decisionow or its licensors. These rights are protected by intellectual property laws and international treaties.

Restrictions

You agree not to:

- Copy, distribute, modify, or create derivative works based on the Service.

- Use any automated means to access the Service for any purpose, including scraping, data mining, or harvesting.

Confidentiality

You acknowledge that, during the course of using the Service, You may have access to confidential and proprietary information of Decisionow. You agree to keep such information confidential and not to disclose it to any third party without Decisionow’s prior written consent.

Limitation of Liability
 Disclaimer of Warranties

The Service is provided "as is" and "as available," without any warranties of any kind, express or implied, including, but not limited to, warranties of merchantability, fitness for a particular purpose, and non-infringement. Decisionow does not warrant that the Service will be error-free, uninterrupted, or secure.

Limitation of Liability

To the maximum extent permitted by law, Decisionow and Intelligaia Technologies LLC. shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of profits, revenue, data, or business opportunities, arising from or related to the use of or inability to use the Service.

In no event shall Decisionow’s aggregate liability exceed the total amount You have paid Decisionow in the past 12 months for the Service.

Exclusion of Certain Claims
Indemnification

Some jurisdictions do not allow the exclusion or limitation of liability for certain damages. In such jurisdictions, the above limitations may not apply to You, and our liability shall be limited to the maximum extent permitted by law.

You agree to indemnify, defend, and hold harmless Decisionow, Intelligaia Technologies LLC., and their affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your use of the Service.

  • Your violation of these Terms.

  • Your violation of any third-party rights, including intellectual property or privacy rights.

Termination
Termination by You

You may terminate your subscription at any time by notifying us or by using the account settings. Termination will take effect at the end of your current billing period, and You will not be entitled to a refund for any prepaid fees.

Termination by Us

We may suspend or terminate your access to the Service at any time, with or without cause, and without notice or liability to You. Upon termination, all licenses and rights granted to You under these Terms will immediately cease.

Governing Law and Dispute Resolution
Governing Law

These Terms are governed by the laws of North Carolina, United States, without regard to its conflict of laws principles. Any disputes arising out of or related to these Terms shall be subject to the exclusive jurisdiction of the courts located in Cary, North Carolina.

Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms, including the breach, termination, or validity thereof, shall be finally settled by arbitration in accordance with the rules of the American Arbitration Association (AAA). The seat of arbitration shall be Cary, North Carolina, and the language of the arbitration shall be English.

Amendments

We reserve the right to modify these Terms at any time. If we make material changes, we will notify You by email or by posting an updated version of the Terms on our website. Your continued use of the Service after the updated Terms become effective constitutes your acceptance of the changes.

Miscellaneous
Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision.

Waiver

These Terms, together with any policies incorporated by reference, constitute the entire agreement between You and Decisionow regarding your use of the Service, superseding any prior agreements.
